Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Code First Technologies ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, clients, and users of our website and services.

2. Services

Code First Technologies provides technology services including but not limited to:

• Software product engineering and development
• Cloud infrastructure and modernization
• AI/ML solutions and consulting
• DevOps and SRE services
• Mobile application development
• Technical training programs

Specific terms for each engagement are defined in individual Statements of Work (SOW) or Service Agreements signed between the parties.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for service delivery
• Respond to requests for feedback, approvals, and clarifications in a timely manner
• Ensure timely payment as per agreed schedules
• Not use our services for any unlawful or prohibited purpose
• Maintain confidentiality of any proprietary information shared during the engagement

4. Intellectual Property

Unless otherwise agreed in writing:

• Upon full payment, clients receive ownership of custom deliverables created specifically for them
• Code First Technologies retains ownership of pre-existing tools, frameworks, and methodologies
• Open-source components remain subject to their respective licenses
• Neither party may use the other's trademarks without prior written consent

5. Payment Terms

Payment terms are specified in individual project agreements. Generally, invoices are due within 30 days of issuance. Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for accounts with overdue balances exceeding 60 days.

6. Limitation of Liability

To the maximum extent permitted by law, Code First Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim.

7. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, you will be invoiced for all work completed up to the termination date. We reserve the right to terminate immediately for material breach of these terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Telangana, India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.
